These Terms of Service ("Terms") constitute a legally binding agreement between you and Dental Media Corp ("Company," "we," "us," or "our") concerning your access to and use of our website and marketing services.

Services Description

Dental Media Corp provides boutique marketing services exclusively for dental clinics and practices, including but not limited to:

• Video production and content creation
• Social media management and marketing
• Search engine optimization (SEO)
• Website design and development
• Paid media and advertising campaigns
• Appointment setting services
• Brand strategy and consulting

Specific services, deliverables, timelines, and fees will be outlined in individual service agreements or statements of work.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your dental practice
• Supply necessary materials, assets, and approvals in a timely manner
• Review and provide feedback on deliverables within agreed timeframes
• Ensure all information and materials you provide are accurate and do not infringe on third-party rights
• Comply with all applicable laws and regulations, including healthcare advertising regulations
• Maintain appropriate licenses and credentials for your dental practice
• Pay all fees according to the agreed payment terms

Intellectual Property

Our Content: The website and its original content, features, and functionality are owned by Dental Media Corp and are protected by copyright, trademark, and other intellectual property laws.

Client Work Product: Upon full payment, clients receive ownership of final deliverables created specifically for their use, unless otherwise specified in the service agreement. We retain the right to use work samples in our portfolio and marketing materials unless otherwise agreed.

Your Content: You retain ownership of materials you provide to us. By providing content, you grant us a license to use, modify, and display such content as necessary to perform our services.

Payment Terms

Payment terms are specified in individual service agreements. General terms include:

• Invoices are due upon receipt unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise specified
• Prices are subject to change with reasonable notice

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, patient data (to the extent shared), financial information, and trade secrets. This obligation survives the termination of our relationship.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC RESULTS FROM OUR MARKETING SERVICES, INCLUDING BUT NOT LIMITED TO INCREASES IN PATIENT VOLUME, REVENUE, OR SEARCH ENGINE RANKINGS.

Marketing results depend on many factors beyond our control, including market conditions, competition, and the quality of services provided by your practice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTAL MEDIA CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Dental Media Corp and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Content or materials you provide to us
• Your dental practice operations

Termination

Either party may terminate services according to the terms specified in the service agreement. Upon termination:

• All outstanding fees become immediately due
• We will provide final deliverables for work completed
• Confidentiality obligations continue
• Licenses granted hereunder may be revoked for unpaid accounts

Healthcare Compliance

You acknowledge that dental advertising is subject to regulations that vary by jurisdiction. You are solely responsible for ensuring that marketing materials and strategies comply with applicable healthcare advertising laws, dental board regulations, and professional standards. We will make reasonable efforts to create compliant content but cannot guarantee compliance with all local regulations.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement
